Terms of Service

1. Definitions

• "Service": Queli, the software-as-a-service platform provided by Queli j.d.o.o.
• "User": Any individual or entity using Queli.
• "Content": All data, information, text, graphics, video, and other materials provided, uploaded, or otherwise made available through the Service by Users.
• "AI": Artificial-intelligence technologies and systems integrated within the Service.
• "Personal Data": Any information relating to an identified or identifiable natural person.

2. Acceptance of Terms

By accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have the authority to do so.

3. Use of the Service

3.1 License

We grant you a non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms. All intellectual-property rights in the Service, including any AI algorithms, software, or proprietary technology, remain the property of Queli j.d.o.o.

3.2 User Responsibilities

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for all Content that you upload, post, or otherwise transmit via the Service. We do not endorse or assume any liability for such Content.

3.3 Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm or offend the Company or users of the Service or expose them to liability.

Additionally, you agree not to:

• Use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service.
• Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose.
• Use any device, software, or routine that interferes with the proper working of the Service.
• Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service.
• Attack the Service via a denial-of-service attack or a distributed denial-of-service attack.

4. Content and Data

4.1 Ownership

You retain ownership of all intellectual-property rights in your Content. However, by uploading, posting, or otherwise transmitting Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content solely for the purpose of providing and improving the Service.

4.2 Responsibility for Content

We are not responsible for any Content provided by Users. Users are solely responsible for the content they create and share through the Service. We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any Content.

5. Disclaimer of Warranty

THESE SERVICES ARE PROVIDED BY THE COMPANY ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICES, OR THE INFORMATION, CONTENT OR MATERIALS INCLUDED THEREIN.

The foregoing does not affect any warranties which cannot be excluded or limited under applicable law.

6. Artificial Intelligence

6.1 AI Disclaimer

The Service includes AI technologies. AI outputs are generated based on the data and parameters provided and should not be considered infallible. Users are solely responsible for verifying the accuracy and suitability of AI-generated outputs for their purposes. The Company accepts no liability for decisions made based on AI-generated content.

6.2 Training Restrictions

Except as otherwise agreed in writing in a separate Data Processing Agreement, Queli will not use your Content to train or fine-tune machine-learning models for the benefit of third parties.

7. Privacy and Data Protection

7.1 GDPR Compliance

We are committed to protecting your privacy and complying with the General Data Protection Regulation (GDPR) and other applicable data protection laws. Please refer to our Privacy Policy for detailed information on how we collect, use, and protect your Personal Data.

7.2 Data Processing

By using the Service, you consent to the processing of your Personal Data as described in our Privacy Policy. You have the right to access, rectify, and erase your Personal Data, as well as other rights as detailed in the Privacy Policy.

7.3 Data Security

We implement reasonable security measures to protect user data from unauthorized access, alteration, or destruction. However, no method of transmission over the internet or electronic storage is 100% secure, and we cannot guarantee the absolute security of user data.

8. Payment and Subscriptions

8.1 Fees

Certain features of the Service may require payment of fees. You agree to pay all applicable fees and charges associated with your use of the Service as displayed at the time of purchase.

8.2 Subscriptions

The Service may be available on a subscription basis. If you subscribe to the Service, you agree to pay the subscription fees and any applicable taxes. Subscription fees are billed in advance and are non-refundable except as required by applicable law.

8.3 Free Trials

We may offer free trial periods. At the end of the free trial period, you will be charged the applicable subscription fee unless you cancel before the trial ends. We reserve the right to modify or discontinue free trials at any time without notice.

9. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice, including for any violation of these Terms or engagement in prohibited activities. Upon termination, all licenses and other rights granted to you in these Terms will immediately cease.

You may terminate your account at any time by contacting us at office@queli.ai. Upon termination by either party, you will lose access to your Content. It is your responsibility to export any Content you wish to retain before termination.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. WHERE NO FEES HAVE BEEN PAID, OUR AGGREGATE LIABILITY SHALL BE LIMITED TO €100 (ONE HUNDRED EUROS).

11. Indemnification

You agree to indemnify, defend, and hold harmless Queli j.d.o.o., its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:

• Your use or misuse of the Service;
• Violation of these Terms;
• Infringement of any intellectual property or other right of any person or entity; or
• Any claims related to the Content you create or share through the Service.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on the Service and updating the "Last Updated" date at the top of this page. Where required by law, we will provide you with advance notice (at least 30 days) via email to your registered account email address.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law provisions.

14. Dispute Resolution

Any dispute arising out of or in connection with these Terms shall be resolved through arbitration in accordance with the rules of the Permanent Arbitration Court at the Croatian Chamber of Economy in Zagreb. The arbitration shall be conducted in English by a single arbitrator appointed in accordance with the said rules.

Notwithstanding the above, either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid provision that most closely matches the intent of the original provision.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and Queli j.d.o.o. concerning the Service and supersede any prior agreements or understandings.

17. Acknowledgement

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
